This document applies to United States business applicants only. The English text is the legally controlling text; any translation is provided for convenience only. It is not legal advice, and it is not an approval of credit.

These Application Terms and Conditions govern the submission of a business credit application to General Disposables Inc (GDI). This version applies only to applications by United States business entities for commercial, business-purpose credit. The English text is the controlling text.

1. Business-purpose application and authority

This application is submitted solely for commercial, business-purpose trade credit for goods purchased for business use. It is not an application for consumer, household, or personal credit, and GDI does not accept consumer credit applications through this form.

The individual submitting this application certifies that they are an authorized representative of the applicant business, that they are authorized to submit the application and to accept these terms on the applicant's behalf, and that all information provided is true, complete, and accurate to the best of their knowledge.

The applicant agrees to promptly notify GDI in writing of any material change to the information submitted, including changes in ownership, entity structure, legal name, address, or financial condition.

2. Authorization to verify business information

The applicant authorizes GDI to verify the information in this application, including the applicant's legal identity and existence, its Employer Identification Number (EIN) and D-U-N-S number, its stated address and contacts, its trade references, its commercial bank reference, and its commercial or business credit reports and payment history.

This authorization includes obtaining business credit reports and business payment data from commercial credit bureaus and business information services, and contacting the trade references and the commercial banker identified in this application.

3. Limited authorized sharing

GDI may share the information in this application, and information obtained in the course of evaluating it, only as reasonably necessary for evaluation, underwriting, account establishment, servicing, and collection, and only with: participating credit insurers and underwriters; commercial factors and banks participating in GDI's trade-credit programs; the trade references and bank reference the applicant identified; business credit bureaus and business information services; and GDI's service providers acting under contractual confidentiality obligations. All such sharing is subject to applicable law.

GDI does not sell application data. Submission of this application does not create any obligation for any partner, insurer, underwriter, factor, or bank to review, evaluate, insure, or extend credit, and GDI does not represent that any particular partner will receive or act on the application.

4. No personal consumer report and no personal guaranty

This application does not authorize GDI or any partner to obtain a consumer credit report on any individual, and GDI does not request a Social Security number, date of birth, personal bank account information, or personal financial statements through this form.

This application does not create a personal guaranty and no individual assumes personal liability by submitting it. If GDI ever requests a personal consumer report or a personal guaranty in connection with a credit decision, that request would require a separate written disclosure and a separate signature by the individual concerned.

5. Electronic records and electronic signature consent

The applicant consents to conduct this application electronically and agrees that its electronic records and electronic signatures are valid and enforceable to the fullest extent permitted by the Electronic Signatures in Global and National Commerce Act, 15 U.S.C. § 7001, and other applicable law.

Typing the authorized signer's full legal name and selecting "Sign and submit credit application" constitutes that signer's electronic signature on this application and on these terms. The applicant may print or save this page and the completed application for its records before submitting.

The applicant may withdraw its consent to transact electronically, or withdraw the application, by written notice to GDI Credit Department, 3040 Post Oak Blvd, Houston, TX 77056, or by email to michealslouis@generaldisposables.com. Withdrawing consent does not affect the validity of records or signatures created before withdrawal.

6. Completeness, additional documents, and no guarantee of approval

GDI may require additional documentation, including financial statements, tax documentation, resale or exemption certificates, formation documents, or evidence of signing authority, before completing its review. An incomplete application may be closed without action.

Submission of this application is not an approval. GDI does not guarantee that credit will be extended, or that any requested credit limit or requested payment terms will be granted. Any credit limit and payment terms are individually underwritten and are effective only when confirmed by GDI in a written approval.

GDI's trade-credit or receivables insurance arrangements, if any, exist for GDI's benefit. They are not an insurance policy for the applicant, and they confer no coverage, rights, or benefits on the applicant.

7. Privacy, security, and retention

GDI collects only the information reasonably necessary to evaluate a business credit application, restricts internal access to personnel with a business need, and transmits and stores application data over encrypted connections and in access-restricted systems.

GDI retains applications and related records for as long as necessary to evaluate and service the account and to satisfy legal, tax, audit, and recordkeeping obligations, after which records are deleted or destroyed. GDI does not sell application data. GDI's Privacy Policy applies to this application.

8. Equal Credit Opportunity notice

The federal Equal Credit Opportunity Act prohibits creditors from discriminating against credit applicants on the basis of race, color, religion, national origin, sex, marital status, age (provided the applicant has the capacity to enter into a binding contract); because all or part of the applicant's income derives from any public assistance program; or because the applicant has in good faith exercised any right under the Consumer Credit Protection Act. The federal agency that administers compliance with this law concerning this creditor is the Federal Trade Commission, Equal Credit Opportunity, Washington, DC 20580.

For retailers, finance companies, and all other creditors, the agency to contact is: Federal Trade Commission, Consumer Response Center, 600 Pennsylvania Avenue NW, Washington, DC 20580.

GDI does not request, and applicants should not submit, information about protected demographic characteristics through this application.

9. Notice of action taken and request for reasons

GDI will notify the applicant of the action taken on this application. Where applicable to business credit under 12 C.F.R. § 1002.9, an applicant who is notified that adverse action has been taken may request the specific reasons for that action, and GDI will provide a statement of specific reasons in accordance with applicable law.

A request for specific reasons must be made in writing within 60 days of GDI's notification of the action taken, addressed to GDI Credit Department, 3040 Post Oak Blvd, Houston, TX 77056, or emailed to michealslouis@generaldisposables.com.

10. Governing law, venue, severability, and entire terms

These Application Terms and Conditions are governed by the laws of the State of Texas, without regard to conflict-of-laws principles, and the exclusive venue for any dispute arising from or relating to this application is a state or federal court located in Harris County, Texas. This paragraph is subject to any applicable law that cannot be waived by agreement.

If any provision of these terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force.

These Application Terms and Conditions, together with the Credit Program Terms and Conditions accepted with this application, are the entire terms governing the submission and evaluation of this application, and supersede prior application-related representations on that subject.
